E-Posora Reseller Terms and Conditions

These "Reseller Terms and Conditions" (hereinafter referred to as "Terms") apply to all resellers participating in the E-Posora Reseller Program.
By registering as a reseller and conducting activities under E-Posora, you agree to comply with the following terms.
1. Definitions
1.1 "E-Posora" refers to E-Posora (part of the Dot Eleven Ecosystem) and its affiliated brands, websites, platforms, and management.
1.2 "Reseller" means any individual, company, or business that purchases products from E-Posora for resale.
1.3 "Customer" refers to the end-user or buyer of the reseller.
1.4 "MOQ" refers to Minimum Order Quantity.
2. Eligibility
2.1 To become a reseller, you must be at least 18 years old and possess a valid national ID (NID).
2.2 Business entities must provide relevant trade licenses and supporting documents, if applicable.
2.3 E-Posora reserves the full right to accept or reject any application.
2.4 Preliminary verification may be required for reseller approval.
3. Account and Information
3.1 All information provided during reseller registration must be accurate, up-to-date, and complete.
3.2 Providing false or misleading information may result in permanent account termination by E-Posora.
3.3 The reseller is fully responsible for maintaining the security of their account (passwords, login credentials, etc.).
3.4 Any changes to information (address, phone number, bank details) must be immediately reported to E-Posora.
4. Products and Pricing Policy
4.1 Wholesale prices, discounts, and offers set by E-Posora apply only to resellers.
4.2 E-Posora reserves the right to change product prices, stock, or policies at any time.
4.3 Resellers may set their own retail prices; however, if the E-Posora brand image or market price is affected, the company may take action.
4.4 Price manipulation (selling at excessively low or high prices) is prohibited.
5. Commission and Margin Structure
5.1 Resellers will purchase products at wholesale prices and earn margins by selling at retail prices.
5.2 Standard margin range: 15%-35% (varies by product).
5.3 Additional 3%-7% bonus commission may be earned for achieving monthly targets.
5.4 Payment cycle: monthly/weekly (depending on reseller level).
5.5 Commission calculation methods are detailed on the reseller portal.
6. Minimum Order Quantity (MOQ)
6.1 First order: minimum 200 BDT worth of products.
6.2 Regular order: minimum 100 BDT worth of products.
6.3 Additional discounts may apply for bulk orders (5,000+ BDT).
6.4 E-Posora reserves the right to change MOQ.
7. Orders and Payments
7.1 All orders must be placed via E-Posora's designated platforms (website/app/WhatsApp) or channels.
7.2 Orders will be processed only after confirmation and payment completion.
7.3 Payment Methods: bKash/Nagad/Rocket (merchant accounts), bank transfer, or approved credit facilities.
7.4 Credit Facilities:
7.4.1 7-15 day credit period for selected resellers
7.4.2 Credit limit: 10,000 - 50,000 BDT (performance-based)
7.4.3 Credit facility will be revoked if payment is delayed7.5 Payment receipts must be retained.
8. Delivery and Shipping
8.1 E-Posora will complete delivery through designated logistics partners.
8.2 Delivery Time:
8.2.1 Within Dhaka: 1-2 business days
8.2.2 Outside Dhaka: 3-5 business days
8.3 Delivery Charges:
8.3.1 Within Dhaka: 60-80 BDT
8.3.2 Outside Dhaka: 100-150 BDT
8.3.3 Free delivery for bulk orders (5,000+ BDT)8.4 Resellers are responsible for incorrect addresses or customer unavailability.
8.5 Products must be checked upon receipt; claims afterward will not be accepted.
9. Returns, Replacements, and Refunds
9.1 Returns or replacements are accepted only under the E-Posora Return Policy.
9.2 Return Conditions:
9.2.1 Report defective or incorrect products within 48 hours of delivery
9.2.2 Original packaging and tags must remain intact
9.2.3 Used products are not eligible for return9.3 Refund processing time: 7-14 business days.
9.4 Return fees apply for reseller’s own errors.
10. Warranty and Guarantee
10.1 Electronics products: 6 months - 1 year warranty (depending on brand)
10.2 Fashion and lifestyle products: 7-day replacement guarantee for defective items
10.3 Warranty Claim Process:
10.3.1 Complete online form
10.3.2 Provide invoice and warranty card
10.3.3 Send to service center10.4 Misuse or accidental damage is not covered under warranty.
11. Branding and Marketing
11.1 Written permission is required to use E-Posora’s name, logo, product images, or content.
11.2 Resellers may not run fake advertisements, discounts, or offers using E-Posora’s name.
11.3 Social media or online ads must comply with company brand guidelines.
11.4 Marketing Support: product images, templates, and monthly campaign support.
12. Training and Support
12.1 For new resellers: online onboarding training, product catalog, and sales guide
12.2 Ongoing support: dedicated support team, 24/7 helpline, monthly webinars
12.3 Technical support: product details and troubleshooting guides
13. Performance Metrics and Incentives
13.1 Reseller Levels: Bronze, Silver, Gold, Platinum (based on monthly sales targets)
13.2 Bonuses & Incentives: monthly cash bonuses, quarterly performance rewards
13.3 Performance Review: evaluation every 3 months, level upgrade/downgrade accordingly
14. Exclusivity (if applicable)
14.1 Separate agreement required for exclusive reseller rights in a specific area
14.2 Exclusive resellers cannot sell competitor brands (conditions apply)
14.3 Exclusivity is performance and commitment-based
15. Prohibited Activities
15.1 Selling counterfeit or unauthorized products
15.2 Sub-reselling without permission
15.3 Price dumping that harms the market
15.4 False advertising or exaggerated claims
15.5 Damaging the brand or selling competitor products (under exclusive contracts)
Penalty for Violation: warning, fines, or contract termination
16. Confidentiality and Data Protection
16.1 Resellers must not disclose E-Posora’s commercial information, pricing, strategies, or customer data to third parties.
16.2 Customer Data Protection:
16.2.1 Use data only for order processing
16.2.2 Sharing with third parties is prohibited
16.2.3 Reseller liable for any data breach16.3 Confidentiality remains after contract termination
16.4 Violations may lead to legal action
17. Limitation of Liability
17.1 E-Posora is not responsible for indirect losses, lost profits, or customer disputes.
17.2 Company will act according to policies if products or services are defective.
17.3 Reseller is fully responsible for their own marketing, sales, and customer service.
17.4 Reseller must resolve any disputes with their customers.
18. Force Majeure
18.1 Force Majeure includes natural disasters, pandemics, war, government restrictions, or system failures.
18.2 E-Posora is not liable for delays or cancellations due to force majeure.
18.3 Both parties will attempt to resolve issues in good faith.
19. Dispute Resolution
19.1 Any dispute should first be resolved through discussion.
19.2 If unresolved, mediation will be pursued.
19.3 If mediation fails, arbitration may be conducted under the Bangladesh Arbitration Center.
19.4 If arbitration fails, legal action may be filed in Dhaka courts.
19.5 Both parties must continue performing contractual obligations during disputes.
20. Termination
20.1 By E-Posora: for violations, inactivity (no orders for 6 months), false info, or brand damage
20.2 By Reseller: 30 days written notice and settlement of dues
20.3 After Termination: complete pending orders, pay dues, return branding materials, reseller account deactivated
21. Governing Law
21.1 These Terms are governed by Bangladesh law.
21.2 Disputes fall under Dhaka courts jurisdiction.
21.3 International resellers may be subject to separate agreements.
22. Amendments and Updates
22.1 E-Posora may amend or update these Terms at any time.
22.2 Changes are effective via website or reseller portal publication.
22.3 Significant changes will also be communicated via email/SMS/WhatsApp.
22.4 Placing an order after updates indicates acceptance of the new Terms.
22.5 Resellers may terminate the contract if they disagree with the changes.
23. Miscellaneous
23.1 Entire Agreement: represents the full agreement between reseller and E-Posora
23.2 Severability: if any clause is invalid, others remain effective
23.3 Assignment: resellers cannot transfer rights to others
23.4 Language: Bangla version prevails in case of conflict
23.5 Communication: all official communications must be written (email/letter)
24. Consent and Acknowledgment
24.1 You have read and understood these Terms.
24.2 You agree to comply with all terms.
24.3 You have the legal capacity to enter this agreement.
24.4 You will follow E-Posora’s policies and values.
